Landlord and tenant

We can offer our expertise to you in many key areas. Regardless of whether you are an individual, a director in a limited company, a tenant or a landlord we can offer advice on the terms of a proposed lease of commercial premises.

There are many complicated issues relating to leases and to the Landlord and Tenant Act legislation which require careful consideration. We are able to provide you with a Lease Report highlighting the key points of the lease and any areas of concern relating to your proposed use of the premises.

The landlord, and in some cases the tenant, may require the lease to be contracted out of protection under the Landlord and Tenant Act which would lease term. If you wish to vary the existing terms or to carry out alterations to the premises written consent of the landlord may be necessary under the terms of the lease. On any subsequent change of ownership by assignment of the lease we can advise on licences to assign which may be required by the Landlord under the terms of lease. We can also assist on any sale of a Tenant's business and the assignment of the residuary term of the Lease to the incoming Tenant.

We can draft terms and conditions of businesses which can then govern contracts into which you enter and give you certainty concerning your rights and remedies.

Contracts

It is important to read and understand contracts into which you enter as they will have considerable legal implications for both you and your business. This is particularly so if you are asked to enter into personal guarantees which may mean that you, personally, become liable should your business default in relation to any part of the contract.

We can advise and assist you in relation to the terms and conditions of into contracts.

If there is anything with which you are unhappy within the draft contractual terms and agreement then this should be negotiated prior to the signing of the contract.

Some contracts do allow for variation of the contractual terms with the agreement of the parties.

Business Partnerships

We can help you in the drafting of partnership agreements stating the legal terms which will form the foundation of the partnership, as well as explain what responsibilities and liabilities apply to the partnership.

It is important that a partnership is formally set up, so that any partnership issues or disputes (which can arise), can be resolved quickly and amicably with reference to the actual partnership agreement.

If one or more partners wish to dissolve the partnership, a formal partnership agreement will set out the procedure for such dissolution and re-structuring. It can also assist in establishing each partner's responsibility and how that responsibility can cease amicably.
